Setting up your business in India involves initiating a company registration process through the Ministry of Corporate Affairs (MCA). The process has been streamlined and is predominantly conducted online. Here's a comprehensive breakdown of the steps required to register a Private Limited Company, which is the most common type for startups:
Digital Signature Certificate (DSC): Each director must obtain a DSC, a digital document used for electronic signatures. You can acquire a DSC from authorized agencies.
Director Identification Number (DIN): Every director needs a unique identification number known as DIN. The application for DIN can be submitted online through the MCA portal.
Company Name Approval: Ensure that the proposed company name is unique and compliant by checking it on the MCA portal.
Registration on MCA Portal: Register on the MCA portal to gain access to various services required for company registration.
SPICe+ Form and Documents: Fill out the SPICe+ form, which consolidates various applications such as company incorporation, Director Identification Number (DIN), and Permanent Account Number (PAN) for the company. Attach necessary documents like the Memorandum of Association (MoA) and Articles of Association (AoA).
Online Submission and Fee Payment: Submit the filled SPICe+ form along with the required fees through the online portal.
Certificate of Incorporation: Upon approval, you'll receive the Certificate of Incorporation, which serves as the official document confirming your company's registration.
PAN and TAN: You'll also receive the company's Permanent Account Number (PAN) and Tax Deduction and Collection Account Number (TAN), which are essential for tax-related transactions.
Bank Account: Open a current bank account in the company's name to conduct financial transactions.
Consider utilizing professional service providers to navigate through the registration process efficiently.
Apart from a Private Limited Company, there are different business structures available. Choose the one that aligns best with your business requirements.
Depending on your industry and location, you might need to obtain additional licenses or permits.
